Conveyancer Panel

Panel Terms

The terms of your firm's membership of the PurchaseSecured conveyancer panel. You accept these when you register your firm.

PURCHASESECURED — CONVEYANCER PANEL TERMS

Version 1.0

These terms govern your firm's membership of the PurchaseSecured conveyancer panel. By accepting them, you agree to receive and, where you choose to accept them, act on conveyancing instructions introduced through the PurchaseSecured platform on the basis set out below.

1. PARTIES AND DEFINITIONS

1.1 These terms are between Transforming Everyday Decisions Limited, a company registered in England and Wales (No. 16649859) trading as "PurchaseSecured" ("we", "us", "our", the "Company"), and the conveyancing firm registering to join the panel ("you", "your", the "Firm").

1.2 In these terms:

"Case" means a conveyancing instruction (buyer side, seller side, or both) offered to the Firm through the platform.

"Client" means the buyer or seller whose transaction is the subject of a Case, and who is the Firm's client for the purposes of the retainer.

"Facilitation Fee" means the fee the Company pays the Firm for completing a Case within the agreed timeframe, as set out in Schedule 1.

"Firm Fee" means the Firm's own fee to the Client for the conveyancing work, at the rate the Firm has set for the relevant property-value band on the platform.

"Regulatory Requirements" means all rules, principles, codes and guidance of the Firm's regulator (the Solicitors Regulation Authority, the Council for Licensed Conveyancers, or other applicable regulator) and all applicable laws, including the Estate Agents Act 1979 (where relevant), the Consumer Protection from Unfair Trading Regulations 2008, the Digital Markets, Competition and Consumers Act 2024, anti-money-laundering legislation, the Bribery Act 2010, and the Data Protection Laws.

"Data Protection Laws" means the UK GDPR, the Data Protection Act 2018, and all applicable privacy laws.

"Target Timeframe" means the completion speed band agreed for a Case (e.g. 1–5 days, 6–10 days, and so on).

2. PANEL APPOINTMENT

2.1 The Company appoints the Firm as a non-exclusive member of its conveyancer panel. The Company may appoint any number of other firms and is under no obligation to offer any Case, minimum volume, or income to the Firm.

2.2 Membership does not create any partnership, joint venture, agency, or employment relationship. The Firm is and remains an independent, separately regulated business.

2.3 The Firm is never obliged to accept a Case. The Firm accepts a Case only by expressly doing so on the platform, and is in full control of its own capacity and workload.

3. THE FIRM REMAINS THE REGULATED PROFESSIONAL

3.1 The Company does not provide legal services, does not supervise or direct the Firm's legal work, and gives no legal advice to any Client. All legal and conveyancing work on a Case is carried out by the Firm as an independent, regulated professional.

3.2 The Firm is solely responsible for: its compliance with all Regulatory Requirements; the standard and conduct of its legal work; its client care, complaints handling, and retainer with the Client; holding and maintaining adequate professional indemnity insurance; and its own anti-money-laundering checks and obligations.

3.3 The Client is the Firm's client. The Firm owes its professional duties to the Client, and nothing in these terms requires or permits the Firm to act contrary to those duties or to the Client's best interests. Where any obligation in these terms would conflict with the Firm's duties to the Client or its Regulatory Requirements, those duties and requirements prevail.

4. FEES — WHAT YOU CHARGE, AND WHAT WE PAY YOU

4.1 Your fee to the Client (Firm Fee). The Firm sets its own fee to the Client for each property-value band on the platform. When the Firm accepts a Case, the applicable Firm Fee is the rate it has set for that band. The Firm Fee is charged by the Firm to the Client under the Firm's own retainer.

4.2 No referral fee is taken from you. Unlike a standard panel, the Company does not charge the Firm any referral fee, panel fee, or commission for Cases introduced through the platform.

4.3 Facilitation Fee (we pay you). In return for accepting a Case and completing it within the Target Timeframe, the Company will pay the Firm a Facilitation Fee, tiered by the agreed completion speed, as set out in Schedule 1. The Facilitation Fee is paid by the Company to the Firm and is in addition to the Firm Fee.

4.4 The Facilitation Fee is payable only where the Case completes within the agreed Target Timeframe. Where completion is delayed for reasons within the Firm's control, the Company may pay the Facilitation Fee applicable to the timeframe actually achieved, or withhold it, acting reasonably. Delays outside the Firm's reasonable control (including Client, lender, or third-party delays) will not count against the Firm.

4.5 The Company will pay Facilitation Fees due within a reasonable period of completion, on the Company's standard payment cycle. VAT, where applicable, is payable in addition against a valid VAT invoice.

5. WHAT THE COMPANY PROVIDES

5.1 For each Case, the Company aims to provide a file in which the upfront elements — which may include a RICS survey and valuation, a desktop valuation, searches, and a seller's information pack — have already been obtained, together with details of a buyer who has paid a reservation fee.

5.2 The Company does not warrant that every upfront element will be present or suitable for every Case, or that any Client will proceed. The Firm must exercise its own professional judgement on each Case, including whether the materials provided are sufficient and whether further steps, searches, or enquiries are required. The Firm must not rely on the Company's materials in place of its own professional obligations.

6. THE FIRM'S OBLIGATIONS

6.1 On accepting a Case, the Firm shall: act with reasonable skill, care, and diligence; use reasonable endeavours to complete within the agreed Target Timeframe; keep the Client and the Company's platform reasonably updated on progress; and cooperate with the coordinated-completion process where the Client and the other parties have agreed to it.

6.2 The Firm shall comply with all Regulatory Requirements at all times, and shall not do anything, or omit to do anything, that places it in breach of them.

6.3 Disclosure. Where any arrangement under these terms is one that the Firm is required to disclose to the Client (including under the SRA Standards and Regulations or the Estate Agents Act 1979), the Firm shall make that disclosure to the Client clearly and in accordance with the applicable rules.

6.4 The Firm shall not make any false or misleading statement about the Company or the platform, and shall use the Company's name and brand only as expressly permitted and in accordance with any brand guidance provided.

6.5 The Firm shall comply with the Bribery Act 2010 and maintain adequate anti-bribery procedures, and shall comply with all applicable anti-money-laundering and sanctions requirements.

7. DATA PROTECTION

7.1 Each party shall comply with the Data Protection Laws in respect of personal data processed in connection with a Case.

7.2 In respect of the Client's personal data, the Firm acts as an independent controller for the purposes of the retainer and its legal work, and is responsible for its own compliance, lawful basis, and privacy information to the Client. The parties shall cooperate reasonably in relation to any personal data breach relevant to a Case.

8. CONFIDENTIALITY

8.1 Each party shall keep confidential the other's confidential information and the commercial terms of these terms, and use it only for the purposes of the panel arrangement, except where disclosure is required by law, a regulator, or the Firm's professional duties. This clause does not override the Firm's duties of confidentiality to its Client, which prevail.

9. INTELLECTUAL PROPERTY AND BRAND

9.1 All intellectual property in the platform and the Company's brand remains the Company's. The Company grants the Firm a limited, revocable, non-transferable licence to use the Company's name solely to indicate its panel membership and only in accordance with any brand guidance. The licence ends on termination.

10. WARRANTIES AND INDEMNITY

10.1 The Firm warrants that it is authorised and regulated to carry out conveyancing work, holds adequate professional indemnity insurance, and has authority to enter into these terms.

10.2 The Firm shall indemnify the Company against losses, liabilities, costs, and claims the Company suffers arising from: the Firm's breach of these terms or of any Regulatory Requirement; the Firm's negligent, unlawful, or unauthorised acts or omissions; or any claim by a Client or third party arising from the Firm's legal work or conduct.

11. LIABILITY

11.1 Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including for death or personal injury caused by negligence, or for fraud.

11.2 Subject to clause 11.1, the Company is not liable to the Firm for loss of profit, loss of anticipated income or fees, loss of opportunity, or any indirect or consequential loss. Subject to clause 11.1, the Company's total aggregate liability to the Firm in connection with these terms shall not exceed the total Facilitation Fees paid to the Firm in the 12 months preceding the claim. The Firm's indemnity in clause 10.2 is not subject to this cap.

12. TERM AND TERMINATION

12.1 These terms begin when the Firm accepts them and continue until terminated. Either party may terminate on 30 days' written notice. The Company may suspend or terminate the Firm's membership immediately if the Firm materially breaches these terms, loses or has restricted its regulatory authorisation or insurance, becomes insolvent, or acts in a way that in the Company's reasonable opinion risks harm to Clients or to the Company's reputation.

12.2 Termination does not affect any Case the Firm has already accepted, which the Firm shall complete in accordance with its retainer and Regulatory Requirements, nor any Facilitation Fee properly due for such a Case. Clauses that by their nature should survive termination do so.

13. NON-CIRCUMVENTION AND NON-SOLICITATION

13.1 The Firm shall not, during its membership and for 12 months afterwards, use any Case, Client, or introduction received through the platform to circumvent the Company or to solicit, divert, or accept work directly from a Client introduced through the platform in a way designed to avoid the Company or deprive it of the arrangement, save that nothing prevents the Firm from continuing to act for a Client on the matter it was instructed on, or from acting for a person who independently and without solicitation approaches the Firm.

13.2 The Firm shall not, during its membership and for 12 months afterwards, solicit or entice away any employee or contractor of the Company with whom it has had contact through the arrangement.

14. SET-OFF, CLAWBACK AND AUDIT

14.1 Clawback. Where a Facilitation Fee has been paid but the conditions for it were not met, or it was paid in error, on the basis of incorrect information, or the underlying Case is later reversed, unwound, or found to have been procured by the Firm's breach, the Facilitation Fee is repayable by the Firm to the Company on demand.

14.2 Set-off. The Company may set off against any sum payable to the Firm any amount the Firm owes the Company, including any amount repayable under clause 14.1. The Firm shall pay all sums due to the Company without set-off or deduction.

14.3 Records and audit. The Firm shall keep accurate records relating to Cases it accepts and, on reasonable written notice, provide the Company with such information as it reasonably requires to verify the Firm's compliance with these terms and to monitor performance, subject always to the Firm's duties of confidentiality and privilege to its Client, which prevail.

14.4 Performance monitoring. The Company may monitor the Firm's performance (including completion times, acceptance rates and Client feedback) and may adjust the priority with which Cases are offered to the Firm, or suspend or remove the Firm from the panel, based on that performance.

15. SUBCONTRACTING, FORCE MAJEURE AND NOTICES

15.1 Subcontracting. The Firm shall not subcontract or outsource the conduct of a Case, or transfer it to another firm, without the Company's prior written consent, except to persons within the Firm working under its supervision. The Firm remains responsible for all work on a Case it has accepted.

15.2 Force majeure. Neither party is liable for any delay or failure to perform caused by an event beyond its reasonable control (including flood, fire, pandemic, industrial action, failure of utilities or communications, or government action), provided it uses reasonable efforts to mitigate. This clause does not excuse the Firm from its Regulatory Requirements or its duties to its Client, and does not apply to any obligation to pay money already due.

15.3 Suspension. The Company may suspend the offering of Cases to the Firm immediately where it reasonably suspects a breach of these terms, a regulatory or insurance issue affecting the Firm, or a risk to Clients or to the Company's reputation, pending investigation.

15.4 Notices. Notices under these terms must be in writing and sent to the email or address each party has notified. Notices about a suspected breach, suspension, or a regulatory or security matter may be given by email and take effect on sending.

15.5 Counterparts and acceptance. These terms may be accepted electronically, and such acceptance (including by ticking an acceptance box and registering) is as effective as a signature and creates a binding agreement.

16. GENERAL

13.1 The Company may amend these terms from time to time; material changes will be notified, and the Firm's continued membership constitutes acceptance of the current version. The Firm shall not assign these terms without consent; the Company may assign its rights and obligations. No failure to exercise a right is a waiver. If any provision is unenforceable it shall be modified to the minimum extent necessary or, failing that, deemed deleted, with the remainder unaffected. A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999. Each party bears its own costs of entering into these terms. Any provision which by its nature is intended to survive termination (including clauses 3, 6.3, 8, 10, 11, 13, 14.1 and 14.2) survives. These terms constitute the entire agreement between the parties in respect of the panel arrangement.

17. GOVERNING LAW AND JURISDICTION

17.1 These terms and any dispute arising from them (including non-contractual disputes) are governed by the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

SCHEDULE 1 — FACILITATION FEE

The Company pays the Firm the following Facilitation Fee, in addition to the Firm's own fee to the Client, where a Case completes within the agreed timeframe.
