This Partner Agreement (the "Agreement") governs your participation in the PurchaseSecured partner and referral programme (the "Programme"). It is a legally binding contract between you and us. Please read it carefully. By ticking the acceptance box when you register, or by participating in the Programme, you confirm that you have read, understood and agree to be bound by this Agreement.
1.1 The Programme is operated by Transforming Everyday Decisions Limited, a company registered in England and Wales (company number 16649859), trading as PurchaseSecured ("PurchaseSecured", "we", "us", "our").
1.2 "You" and "Partner" means the individual or business that registers for and participates in the Programme.
Definitions used in this Agreement:
2.1 To join, you must register an account, provide accurate information, and accept this Agreement. You must be at least 18 years old and, where you register as a business, be authorised to bind that business.
2.2 We may accept or decline any application at our reasonable discretion. Certain partner types (for example, business-development partners) may require additional verification before activation.
2.3 You are responsible for keeping your account details accurate and your login secure. You are responsible for all activity under your account.
3.1 On joining you receive a unique Partner Link. A Referred Agent is attributed to you when they register a PurchaseSecured account after arriving through your Partner Link, subject to our tracking and the rules below.
3.2 Attribution is last-click and cookie-based, with a 30-day cookie window. If an agent clicks more than one partner's link, the most recent valid Partner Link within the window is credited. Attribution is determined by our systems and records.
3.3 Our records are the definitive record of clicks, sign-ups, Qualifying Events and Commission. Where our tracking does not record an attribution (for example, because cookies were blocked or cleared, a different device was used, or the agent signed up directly), no Commission is payable, even if you believe you introduced the agent.
3.4 An agent already registered with PurchaseSecured, or already attributed to another partner or to our own sales activity, will not be re-attributed to you.
4.1 You earn Commission when a Referred Agent completes a Qualifying Event. The current Qualifying Events and amounts are:
4.2 The maximum Commission per Referred Agent is £2,250. There is no limit on the number of agents you may introduce. Commission is paid once per Qualifying Event per agent.
4.3 Commission amounts, Qualifying Events and the maximum per agent are those shown on your partner dashboard from time to time, which prevail if they differ from the figures above following a change made under section 17. All amounts are stated exclusive of VAT; see section 12 for your tax responsibilities.
4.4 A recruiter bonus may be payable where another partner joins through your link and earns their first Commission, as shown on your dashboard. This too is subject to this Agreement.
5.1 A Qualifying Event is first recorded as pending. It becomes approved once we are satisfied it is valid and, where relevant, once the underlying transaction (for example, a Reservation Fee or a completion) has been received by us and any applicable cancellation or refund period has passed.
5.2 Approved Commission is paid via Stripe Connect. You must complete Stripe Connect onboarding (including any identity and bank verification Stripe requires) before we can pay you. We are not responsible for delays caused by incomplete or failed onboarding.
5.3 We may operate a minimum payout threshold and a regular payment cycle, as shown on your dashboard. Commission below the threshold rolls over until the threshold is met.
5.4 We may withhold payment of any Commission that is pending, disputed, under investigation, or subject to a potential clawback under section 6, until the matter is resolved.
6.1 We may reverse, withhold or reclaim Commission (a "Clawback") in any of the following defined circumstances:
6.2 Clawback may be applied for up to 180 days after Commission is approved. We may set off any Clawback against Commission otherwise owed to you, or require repayment where insufficient Commission is owed.
6.3 We will not apply Clawback arbitrarily. Clawback is limited to the circumstances in 6.1.
7.1 You may promote PurchaseSecured honestly and lawfully using your Partner Link, for example through your own website, blog, newsletter, social media, or by personally introducing agents you know.
7.2 You must describe PurchaseSecured accurately and only make claims that are true and that we have published or can substantiate. You must keep your promotion current and remove or correct anything that becomes inaccurate.
7.3 You are responsible for your promotional channels and for ensuring they comply with the rules of any platform you use and with applicable law.
8.1 You must not:
8.2 Breach of this section may result in withheld or clawed-back Commission and suspension or termination under section 14.
9.1 You must comply with all applicable advertising and consumer-protection law and codes, including the UK Code of Non-broadcast Advertising, Direct & Promotional Marketing (the CAP Code) administered by the Advertising Standards Authority (ASA), and the Digital Markets, Competition and Consumers Act 2024.
9.2 You must clearly and prominently disclose that you earn a commission from PurchaseSecured wherever you promote us, so that it is obvious to your audience before they engage with the content. Acceptable disclosures include "#ad", "advert" or "affiliate link", displayed prominently and up front. Ambiguous, hidden or after-the-fact disclosures are not sufficient.
9.3 You are responsible for your own compliance. Where your non-compliance exposes us to regulatory action, complaint or reputational harm, we may suspend or terminate you and apply Clawback, and section 15 (indemnity) applies.
10.1 We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Programme Materials and our name and logo solely to promote PurchaseSecured under this Agreement, and only in the form we provide (you must not alter our logo or Programme Materials except to insert your Partner Link where intended).
10.2 All intellectual property in PurchaseSecured, our brand and the Programme Materials remains ours. This licence ends automatically on termination, and you must then stop using our brand and Programme Materials and remove them from your channels.
10.3 We may update, withdraw or require you to stop using any Programme Material at any time.
11.1 Each party will comply with the UK GDPR and the Data Protection Act 2018 in connection with the Programme.
11.2 Where you collect personal data from individuals in connection with promoting us (for example, through your own site, list or tracking), you are the controller of that data and are responsible for having a lawful basis, providing privacy information, and obtaining any consent required — including valid consent for any non-essential tracking or affiliate cookies you set.
11.3 We are the controller of the personal data we process about you as a Partner and about Referred Agents within our platform, and we process it in accordance with our Privacy Policy.
11.4 You must not send us personal data except as necessary for the Programme, and you must not use any personal data you obtain through the Programme for any purpose other than promoting us under this Agreement.
12.1 You participate as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership or joint-venture relationship, and you are not entitled to employee benefits. You have no authority to bind us.
12.2 You are solely responsible for your own taxes, including income tax, National Insurance and VAT as applicable, and for any registration and reporting. If you are VAT-registered, Commission is treated as exclusive of VAT and you are responsible for accounting for VAT correctly. We may require valid invoices or tax details before payment.
13.1 We may audit your compliance with this Agreement at any time. On request, you will promptly provide the URLs, channels, campaign details and traffic sources you use to promote us.
13.2 Where we identify non-compliance, we may apply a graduated response depending on severity: a warning, a hold or Clawback of Commission, and/or suspension or termination. Serious breaches (including fraud, brand-bidding, or law/disclosure breaches) may result in immediate termination and forfeiture of pending Commission.
14.1 You may leave the Programme at any time by closing your account or notifying us.
14.2 We may suspend or terminate your participation: (a) on notice for convenience; or (b) immediately if you breach this Agreement, if we reasonably suspect fraud or prohibited activity, or if required by law.
14.3 On termination: your licence to use our brand and Programme Materials ends and you must stop using them; no further Commission accrues; and valid, approved Commission already earned and not subject to Clawback will be paid in the normal cycle, save that we may withhold Commission where you have breached this Agreement or where amounts are under investigation.
14.4 Sections that by their nature should survive termination (including 6, 10.2, 11, 12, 15, 16, 18 and 19) continue to apply.
15.1 You warrant that you will comply with this Agreement and all applicable laws and codes, that your promotional content is accurate and lawful, and that you have the right to operate your promotional channels.
15.2 You will indemnify us against losses, damages, costs and reasonable expenses we incur arising from your breach of this Agreement, your promotional activities, your non-compliance with advertising, consumer or data-protection law, or your infringement of any third-party rights.
16.1 Nothing in this Agreement limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud).
16.2 Subject to 16.1, we are not liable to you for loss of profit, loss of business or revenue, loss of anticipated Commission, or any indirect or consequential loss; and our total liability to you arising out of or in connection with the Programme in any 12-month period is limited to the total Commission properly paid to you in that period.
16.3 The Programme and Programme Materials are provided "as is". We do not guarantee any level of earnings, traffic, conversions or availability, and we may change or discontinue the Programme.
17.1 We may update this Agreement and the Programme (including Commission amounts, Qualifying Events, the maximum per agent, attribution rules and thresholds) from time to time. We will publish the updated version with a new version number and effective date, and where changes are material we will take reasonable steps to notify you.
17.2 Changes apply to Qualifying Events occurring after the effective date. Your continued participation after changes take effect constitutes acceptance. If you do not agree, you may leave the Programme.
18.1 Assignment. You may not assign or transfer this Agreement without our written consent. We may assign it to a group company or successor.
18.2 Entire agreement. This Agreement (with our Privacy Policy and any terms shown on your dashboard) is the entire agreement between us regarding the Programme and supersedes prior discussions.
18.3 Waiver & severance. A failure to enforce a term is not a waiver. If any term is unenforceable, the rest continues in force.
18.4 No third-party rights. No one other than you and us has any rights under this Agreement under the Contracts (Rights of Third Parties) Act 1999.
18.5 Notices. We may give notices to you by email or via your dashboard.
19.1 This Agreement and any dispute arising out of it (including non-contractual disputes) are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
