1. About PurchaseSecured

Transforming Everyday Decisions Limited (company number 16649859), trading as PurchaseSecured ("we", "us", "our"), provides a digital platform enabling estate agents, property sellers, and buyers to create, manage, and enforce legally binding reservation agreements for residential property transactions in England and Wales.

2. Definitions

"Agent" means a registered estate agent using the platform to create reservation agreements. "Buyer" means a prospective property purchaser who signs a reservation agreement. "Seller" means the property owner who countersigns a reservation agreement. "Reservation Fee" means, on the Reservation Fee basis, the sum paid by the Buyer to secure the reservation. "Compensation Deterrent basis" means the alternative basis on which the Buyer pays a reduced service fee and the Buyer and Seller instead agree a mutual Compensation Sum payable by whichever party withdraws without a valid reason. "Service Fee" means the fee paid by the Buyer on the Compensation Deterrent basis. "Compensation Sum" means the mutual sum (1% of the asking price, minimum £2,000) payable on a qualifying breach under a reservation agreement made on the Compensation Deterrent basis. "Platform" means the PurchaseSecured website, dashboard, APIs, and related services.

3. Eligibility

To use the Platform as an Agent, you must be a registered estate agent operating in England or Wales, hold appropriate professional indemnity insurance, and comply with all applicable regulations including the Estate Agents Act 1979 and the Consumer Protection from Unfair Trading Regulations 2008.

4. Reservation Agreements

The Platform facilitates the creation and execution of reservation agreements between Buyers and Sellers. PurchaseSecured does not provide legal advice. Each party should seek independent legal advice before entering into a reservation agreement.

Reservation agreements created through the Platform are intended to be legally binding contracts between the Buyer and Seller. PurchaseSecured acts as a technology provider and is not a party to the reservation agreement itself.

5. Payment Services

All reservation fees are processed by Stripe Payments UK, Ltd, an FCA-authorised Electronic Money Institution (firm reference 900461). Funds are held in PurchaseSecured's ring-fenced Stripe platform balance until release conditions are met under the Reservation Agreement.

The release of held funds is governed by the terms of the reservation agreement and Stripe's payment services terms.

On the Compensation Deterrent basis, the Buyer's Service Fee is collected through the Agent's own Stripe account, with the Agent as merchant of record; PurchaseSecured receives its portion of that Service Fee as consideration for the reservation and compensation-administration service. The Compensation Sum itself is an obligation between the Buyer and the Seller and is not held or processed by PurchaseSecured except where a debt is assigned to us for recovery under section 12 below.

6. Fees and Charges

PurchaseSecured charges Agents a platform fee on each reservation agreement. The current fee structure is disclosed during registration and on the Agent dashboard.

On the Reservation Fee basis, the platform fee is a percentage of the reservation fee (currently 4.75% on the self-service tier, or 20% on the managed tier) and is deducted on fund release. Payment processing fees may be charged to the Agent separately.

On the Compensation Deterrent basis, the Buyer pays a fixed Service Fee, of which the Agent retains a fixed portion and PurchaseSecured receives the remainder as consideration for the reservation and compensation-administration service. The Service Fee is a non-refundable service fee and is separate from any Compensation Sum.

We process personal data in accordance with our Privacy Policy and the UK GDPR. Agents act as joint data controllers with PurchaseSecured for personal data processed through the Platform.

9. Intellectual Property

The Platform, including all content, designs, software, and documentation, is owned by Transforming Everyday Decisions Limited (trading as PurchaseSecured). Agents are granted a non-exclusive, non-transferable licence to use the Platform for its intended purpose.

10. Limitation of Liability

PurchaseSecured provides the Platform on an "as is" basis. To the maximum extent permitted by law, we exclude liability for indirect, consequential, or incidental damages arising from use of the Platform.

Our total liability for any claim arising from or related to the Platform shall not exceed the fees paid by you to PurchaseSecured in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

Either party may terminate this agreement with 30 days' written notice. Active reservation agreements will continue to be serviced until completion, withdrawal, or expiry. Upon termination, Agents may request export of their data in accordance with our GDPR obligations.

12. Compensation Deterrent basis and recovery

Agents may create reservation agreements on the Compensation Deterrent basis. Under that basis, the Buyer and Seller agree a mutual Compensation Sum (1% of the asking price, minimum £2,000, the same for both parties) payable by whichever party commits a qualifying breach by withdrawing without a valid reason, as fully set out in the reservation agreement itself.

The Compensation Sum is an obligation between the Buyer and the Seller. PurchaseSecured is not a party to it and does not guarantee it. Where a qualifying breach occurs, the innocent party may assign the resulting debt to PurchaseSecured (Transforming Everyday Decisions Limited, company number 16649859), which may then pursue recovery of that debt in its own name as legal owner, whether directly or through a solicitor or other SRA-regulated legal services provider it instructs.

Where PurchaseSecured recovers such a debt, it accounts to the innocent party for the Compensation Sum actually recovered and may retain any interest and costs element towards the costs of recovery. PurchaseSecured is under no obligation to pay any amount it does not actually recover from the defaulting party. PurchaseSecured's income on the Compensation Deterrent basis is its fixed portion of the Service Fee; it does not charge the innocent party a percentage of the Compensation Sum.

Agents must not describe the Compensation Deterrent basis as a guarantee, insurance, or a promise by PurchaseSecured to pay the Compensation Sum, and must ensure buyers and sellers are shown the Compensation Sum and the reservation terms before entering an agreement.

13. Disputes

Disputes arising from reservation agreements are between the Buyer and Seller. PurchaseSecured provides a dispute resolution workflow but is not an arbitrator or mediator. Where a reservation agreement is made on the Compensation Deterrent basis, whether a qualifying breach has occurred is determined under the dispute-resolution and independent-expert procedure set out in that agreement. For disputes regarding the Platform itself, these terms are governed by the laws of England and Wales.

14. Changes to Terms

We may update these terms from time to time. Material changes will be notified via email to registered Agents at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
