1. About PurchaseSecured

PurchaseSecured Ltd ("we", "us", "our") provides a digital platform enabling estate agents, property sellers, and buyers to create, manage, and enforce legally binding reservation agreements for residential property transactions in England and Wales.

Our registered address is available on request. By using our platform, you agree to these terms.

2. Definitions

"Agent" means a registered estate agent using the platform to create reservation agreements. "Buyer" means a prospective property purchaser who signs a reservation agreement. "Seller" means the property owner who countersigns a reservation agreement. "Reservation Fee" means the sum paid by the Buyer to secure the reservation. "Platform" means the PurchaseSecured website, dashboard, APIs, and related services.

3. Eligibility

To use the Platform as an Agent, you must be a registered estate agent operating in England or Wales, hold appropriate professional indemnity insurance, and comply with all applicable regulations including the Estate Agents Act 1979 and the Consumer Protection from Unfair Trading Regulations 2008.

4. Reservation Agreements

The Platform facilitates the creation and execution of reservation agreements between Buyers and Sellers. PurchaseSecured does not provide legal advice. Each party should seek independent legal advice before entering into a reservation agreement.

Reservation agreements created through the Platform are intended to be legally binding contracts between the Buyer and Seller. PurchaseSecured acts as a technology provider and is not a party to the reservation agreement itself.

5. Payment Services

All reservation fees are processed by Stripe Payments UK, Ltd, an FCA-authorised Electronic Money Institution (firm reference 900461). Funds are held in PurchaseSecured's ring-fenced Stripe platform balance until release conditions are met under the Reservation Agreement.

The release of held funds is governed by the terms of the reservation agreement and Stripe's payment services terms.

6. Fees and Charges

PurchaseSecured charges Agents a platform fee on each completed reservation agreement. The current fee structure is disclosed during registration and on the Agent dashboard. Fees are calculated as a percentage of the reservation fee and are deducted upon fund release.

Transpact may charge a separate transaction fee (currently £5.98) which is payable by the Buyer.

8. Data Protection

We process personal data in accordance with our Privacy Policy and the UK GDPR. Agents act as joint data controllers with PurchaseSecured for personal data processed through the Platform.

9. Intellectual Property

The Platform, including all content, designs, software, and documentation, is owned by PurchaseSecured Ltd. Agents are granted a non-exclusive, non-transferable licence to use the Platform for its intended purpose.

10. Limitation of Liability

PurchaseSecured provides the Platform on an "as is" basis. To the maximum extent permitted by law, we exclude liability for indirect, consequential, or incidental damages arising from use of the Platform.

Our total liability for any claim arising from or related to the Platform shall not exceed the fees paid by you to PurchaseSecured in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

Either party may terminate this agreement with 30 days' written notice. Active reservation agreements will continue to be serviced until completion, withdrawal, or expiry. Upon termination, Agents may request export of their data in accordance with our GDPR obligations.

12. Disputes

Disputes arising from reservation agreements are between the Buyer and Seller. PurchaseSecured provides a dispute resolution workflow but is not an arbitrator or mediator. For disputes regarding the Platform itself, these terms are governed by the laws of England and Wales.

13. Changes to Terms

We may update these terms from time to time. Material changes will be notified via email to registered Agents at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
